What Is a Taking-Over Certificate in Construction?

A Taking-Over Certificate is the document the engineer or employer issues to confirm that the works, or a defined section of them, are substantially complete and the employer can take possession and use them. It marks completion for contract purposes, even if minor items remain to be finished.

What the certificate does

Issuing the certificate normally has several contractual effects. The works pass into the employer's care, the risk and insurance position changes, the contractor's liability for delay damages stops for the part taken over, and the defects liability period starts. Often a first portion of retention becomes due for release.

What happens before it is issued

Contracts differ, but the process usually includes:

  • The contractor notifies that the works are ready for taking over.
  • Completion tests and inspections are carried out.
  • A joint inspection produces a snag or punch list of minor outstanding items.
  • Required documents, such as as-built drawings and manuals, are handed over.
  • The engineer issues the certificate, or gives reasons for not doing so.

Taking over, completion and final acceptance

The taking-over certificate is not the end of the contract. The contractor still finishes the snag items and corrects defects during the defects liability period. After that period, a final certificate or performance certificate confirms the contractor has fulfilled its obligations, and the remaining retention is released.

Taking over on Gulf projects

Gulf projects often need authority completion approvals as well as contractual taking over, and the sequence and wording depend on the contract and the local authority. Confirm in your contract what must be achieved, such as tests, approvals and documentation, before the certificate can be requested.

How Arkan supports taking over

Arkan does not issue the certificate, but it manages the closeout work that leads to it.

  • Punch lists track defects and incomplete items from discovery to closure, with photos, comments and a Kanban board.
  • The Reports view exports punch list data to CSV or PDF.
  • Inspections and NCRs show what quality items remain open.

Frequently asked questions

What is the difference between a taking-over certificate and practical completion?

They serve the same purpose under different contract forms. Taking-over certificate is the FIDIC term; practical completion is more common in other standard forms.

Can works be taken over in sections?

Yes, if the contract allows. A certificate can then cover a section or part, with its own effects on delay damages and the defects period for that part.

Does the certificate mean there are no defects?

No. It confirms substantial completion. Minor outstanding items and later defects are dealt with through the snag list and the defects liability period.
